BRIDGING FINANCE MANAGEMENT RISK POLICY


 

This Policy should be read together with our P2P Risk Disclosure Document that can be found on this Website under "Legal Disclosures"

Financial Risk

Non-conformance with multiple types of risks associated with financing, including financial transactions that include the Company’s Bridging Finance transactions which could face the risk of default payments.

           

Measures in place:

Bridging Finance transactions

·         Bridging Finance approval criteria – We have a stringent qualification criterion for the bridging finance applications we approve which take into account each separate application’s circumstances regarding rights of proceeds to sale which we acquire from the seller.

·         The criterion summarily asks two questions which must be answered by the Conveyancing Attorney representing the seller:

 

A.)  Is the registration of the property being sold imminent? In other words, have all conditions and requirements of the transaction been complied with?

Ø  Yes meaning that there are no conditions or impediments to the registration of the property at the Deeds Office.

B.)  Will there be sufficient funds available on registration to cover the amount owed to Liquid Bridge Fund in accordance with the finance agreement?

Ø  We purchase the rights of proceeds for up to 80% of the total amount to be received on sale completion.

 

·         Accountable Institutions – We will only deal with admitted Attorneys who are qualified Conveyancers as we rely on them for certain due diligence and undertakings on the sale transactions, acquiring and holding documents on our behalf as well as paying us the monies due to us. We do not deal with the property sellers directly, nor do we send approved funds directly to them, we only deal with the attorney as the seller’s appointed agent.

·         Warranties – Various warranties and undertakings are provided by the property seller and the Conveyancing Attorney. These warranties ensure that the interests of Liquid Bridge Fund as the purchaser of the rights to proceeds of the sale are put first. Some of these warranties and undertakings include, but not limited to:

ü  The Attorney will pay us first as soon as the sale proceeds are cleared into their Attorney’s Trust Account.

ü  The Seller is unequivocally authorised to sell the property and sell the rights to the proceeds of that property sale to us.

ü  There is nothing delaying or preventing the sale of the property (with the exception of what the seller requires our financing for in relation to the sale, e.g. Rates Clearance certificate – outstanding Municipal rates).

 

WHAT HAPPENS IF WE DON’T GET THE FUNDS DUE TO US FOR WHATEVER REASON

In accordance with the Bridging finance Agreements we enter into with the customers (property seller) and their respective agents (conveyancing attorney), if the customer and/or agent breaches the agreement, we may cancel the agreement, claim predefined damages, and institute legal proceedings to recover our funds and penalties imposed at the cost of the customer.
